Terms of Use

This Terms of Use agreement ("Terms") is a binding contract between you and Calvin Yap, an individual residing in Malaysia, operating under the brand name "DeepTalk" ("DeepTalk", "we", "us", "our"). It governs your download, installation, and use of the DeepTalk mobile application (the "App") and any related services we provide (together, the "Services").

By downloading, installing, or using the App, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please do not use the App.

1. About DeepTalk

DeepTalk is a card-based conversation app for iOS and Android. It is designed to help people build deeper relationships through meaningful and fun questions across themed decks (Family, Friends, First Date, Unmarried Couples, Married Couples) and user-created custom decks.

DeepTalk is intended for personal, non-commercial entertainment. It is not designed for, and must not be used as a substitute for, professional advice — including counselling, therapy, medical, legal, or financial advice.

2. Eligibility and Age Restrictions

To use the App, you must be at least 13 years old. If you are between 13 and 18, you confirm that a parent or legal guardian has reviewed these Terms and consents to your use of the App.

The Married Couples deck contains questions intended for a mature audience and may include themes of a sexual or otherwise mature nature. By purchasing or playing the Married Couples deck, you confirm that you are at least 18 years old. We rely on this confirmation as a condition of granting you access to that deck.

We do not knowingly collect personal data from children under 13. If you become aware that a child under 13 has provided us with personal data, please contact us at [email protected] and we will take reasonable steps to delete it.

3. Your Account

You may use the App with an account (created with your email and a password, or with Google Sign-In) or as a guest. You agree to:

Guest mode. If you use the App as a guest, your notes, favourites, hidden cards, and custom-deck content are stored on your device only. Uninstalling the App or clearing app data will permanently delete this content. Guest accounts cannot make in-app purchases.

4. Licence to Use the App

Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the App on devices that you own or control, solely for your personal, non-commercial use.

This licence does not give you any ownership of the App. All rights not expressly granted to you are reserved.

5. In-App Purchases

The App offers one-time, non-consumable in-app purchases ("Purchases"). DeepTalk does not offer subscriptions.

Prices are displayed in the App at the time of purchase and may change at any time without notice for future purchases. Existing purchases are not affected by later price changes.

5.1 Payment, billing and the App Stores

All Purchases are processed by Apple Inc. through the App Store (on iOS) or Google LLC through Google Play (on Android). Payment is charged to the Apple ID or Google account you use to download the App, subject to the relevant store's terms.

Apple and Google are not parties to these Terms and have no responsibility for the App or any Purchases except as required by their own terms.

5.2 Refunds and cancellation

All Purchases are final. Because billing is handled entirely by Apple or Google, any refund must be requested directly from the App Store or Google Play under their respective refund policies. We do not directly process refunds and we are unable to override the App Store's or Google Play's refund decisions.

5.3 Restoring purchases

Purchases are linked to your DeepTalk account. If you reinstall the App or sign in on a new device, your purchases and entitlements will be restored automatically when you sign in. Session history and resume state are stored on the device only and may not be restored on a new device.

6. User-Created Content

The App lets you create custom decks, write your own custom questions, edit deck descriptions, and write personal notes on cards ("Your Content"). You retain ownership of Your Content.

By creating Your Content in the App, you grant DeepTalk a worldwide, non-exclusive, royalty-free, fully paid-up licence to host, store, reproduce, display, and transmit Your Content solely as needed to operate the Services for you (including syncing it to your account so it is available on your other devices).

You are solely responsible for Your Content. You represent and warrant that:

By default, Your Content stays private to your account. The Connect Code multiplayer feature (see Section 7) may relay the question text of the single card you are currently playing to another participant who has joined your session — only while the session is live, only one card at a time, and only when you choose to host a session.

6.1 Feedback and suggestions

If you send us suggestions through the in-app Suggestion feature or by email, you grant us the right to use and act on that feedback freely, without any obligation or compensation to you.

7. Connect Code (Synced Multiplayer)

The Connect Code feature lets multiple devices play the same deck in sync over the internet. When you host a Connect session, the App relays the currently displayed card and basic playback state (such as deck name, position, and whether the card is checked) to participants who join with your code.

Connect sessions are ephemeral. We do not permanently store the content of the deck you are hosting, the cards relayed, or any session history of joined participants on our servers. When the host leaves the deck or the session ends, the relay channel is torn down.

Joiners who do not own the host's deck cannot save the deck content to their own library unless the host explicitly enables the "Save this deck" option for that session.

You are responsible for the people you choose to share your Connect code with. Do not share codes with anyone you do not trust to view the deck content you are hosting.

8. Intellectual Property

The App, including its source code, design, themed deck content, questions in our themed decks (Family, Friends, First Date, Unmarried Couples, Married Couples), logos, artwork, fonts, layouts, and the name "DeepTalk", is owned by DeepTalk and protected by Malaysian and international copyright, trademark, and other intellectual property laws.

Nothing in these Terms transfers any of those rights to you. You may not copy, redistribute, screenshot for resale, publish, broadcast, or otherwise commercialise any of our content without our prior written consent. Personal, non-commercial sharing of individual question cards through the in-app Share button is permitted and encouraged.

9. Third-Party Services

The App uses third-party services to operate, including Google for sign-in, Apple App Store and Google Play for payments, and backend hosting, email-delivery, analytics, and crash-reporting providers that run on our behalf. Your use of those third-party services may be subject to their own terms and privacy policies. We are not responsible for third-party services beyond integrating them into the App. The categories of third party we share data with for these purposes are described in our Privacy Policy.

10. Service Availability, Changes, and Termination

We work hard to keep the App available and reliable, but we do not guarantee uninterrupted, error-free, or always-available service. The App and any individual feature may be modified, suspended, or discontinued at any time, with or without notice.

We may update the App from time to time. Updates may add, change, or remove features. These Terms apply to any update unless that update is accompanied by separate terms.

You may stop using the App at any time by deleting it or deleting your account from Settings → Account.

We may suspend or terminate your account or your access to the App if we reasonably believe you have breached these Terms, infringed someone else's rights, or used the App in a way that may harm DeepTalk or other users. Where reasonable, we will give you notice.

On termination, your right to use the App ends immediately. The provisions that by their nature should survive termination — including the licence you granted us for Your Content (only to the extent needed to operate the Services for you), intellectual property rights, disclaimers, and limitations of liability — will continue.

11. Disclaimers

The App and the Services are provided "as is" and "as available", without warranty of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation, to the maximum extent permitted by Malaysian law.

The questions in the App are intended for entertainment and connection only. We do not represent that any specific question will produce any particular outcome in your relationships or your life.

12. Limitation of Liability

To the maximum extent permitted by applicable law, DeepTalk and Calvin Yap will not be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to your use of the App, including loss of profits, loss of data, loss of goodwill, or damage to relationships, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims relating to the App or these Terms will not exceed the total amount you have paid to us (through the App Store or Google Play) for Purchases in the 12 months preceding the event giving rise to the claim. If you have made no Purchases, our total aggregate liability will not exceed MYR 100.

Nothing in these Terms limits any liability that cannot be limited under Malaysian law (including liability for death or personal injury caused by negligence, or for fraud).

You agree to indemnify and hold harmless DeepTalk and Calvin Yap from and against any claims, losses, damages, liabilities, and reasonable expenses (including reasonable legal fees) arising from:

14. Governing Law and Disputes

These Terms are governed by the laws of Malaysia, without regard to its conflict-of-laws principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the App will be submitted to the non-exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia. You and DeepTalk each agree that nothing in this section prevents either party from seeking interim or injunctive relief in any court of competent jurisdiction.

The following applies only if you downloaded the App from the Apple App Store:

If you downloaded the App from Google Play, your use is additionally governed by the Google Play Terms of Service. Google is not a party to these Terms and has no responsibility for the App except as required by its own terms.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you in the App. Continued use of the App after the changes take effect means you accept the updated Terms. If you do not agree, please stop using the App.

18. General

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a transfer of all or part of our business. These Terms are the entire agreement between you and DeepTalk regarding the App, and supersede any prior agreements.
